1. Acceptance of Terms

By accessing or using any website, application, tool, form, document, or service operated by Bardowl Group (collectively, the "Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must discontinue use immediately.

Bardowl Group reserves the right to modify these Terms at any time. Continued use of the Platform following any modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Definitions

• "Company," "we," "our," "us" refers to Bardowl Group and its affiliates, officers, employees, and authorized representatives.
• "User," "you," "your" refers to any individual or entity accessing or using the Platform.
• "Content" means all text, data, tools, calculators, forms, graphics, layouts, software, source code, algorithms, pricing logic, methodologies, trade secrets, and any other material made available through the Platform.
• "Services" means consulting, design, engineering, supply, tool access, and any other professional services offered by the Company.
• "Proprietary Tools" means all interactive calculators, comparison tools, pricing administration tools, export utilities, and any associated logic, output formats, or workflows available on the Platform.

3. Intellectual Property & Proprietary Rights

All Content on the Platform — including but not limited to Proprietary Tools, tool logic, algorithms, pricing methodologies, calculation engines, output formats, export templates, user interface designs, visual layouts, copy, branding, and trade dress — is the exclusive intellectual property of Bardowl Group and is protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

3.1 Restrictions

You expressly agree that you will not, directly or indirectly:

• Copy, reproduce, duplicate, download, scrape, crawl, or extract any Content, tool output, calculation logic, or data structure from the Platform.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, pricing logic, or underlying methodology of any Proprietary Tool.
• Modify, adapt, translate, create derivative works based on, or build competing products or services using any Content or tool output.
• Redistribute, sublicense, sell, lease, rent, or otherwise make available any Content or tool output to third parties.
• Use automated systems, bots, scripts, spiders, or any form of automated data collection to access, monitor, or interact with the Platform.
• Remove, alter, or obscure any proprietary notices, watermarks, copyright notices, or attribution marks.
• Use screenshots, screen recordings, or any form of visual capture of Proprietary Tools for competitive analysis, replication, or public distribution.
• Frame, mirror, or embed any portion of the Platform on any other website or service without prior written consent.

3.2 Limited License

Subject to your compliance with these Terms, Bardowl Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your own internal business purposes. This license does not include any right to resell, commercially exploit, or distribute any Content or tool output.

3.3 Ownership of Outputs

Unless expressly stated in a separate written agreement, all outputs generated by Proprietary Tools — including calculations, comparisons, pricing recommendations, export files, and reports — remain the intellectual property of Bardowl Group. You receive a limited license to use such outputs solely for your internal decision-making. You may not publish, share, or distribute tool outputs without prior written authorization.

4. Account Registration & Access

Certain features of the Platform require account registration or approved access. You agree to provide accurate, current, and complete information and to maintain the security of your credentials. You are solely responsible for all activity that occurs under your account.

Bardowl Group reserves the right to suspend, restrict, or terminate your access at any time, with or without notice, for any reason including but not limited to violation of these Terms, suspected unauthorized use, or suspected intellectual property infringement.

5. Services & Professional Disclaimer

The Content and Services provided on the Platform are for general informational and operational support purposes only. Nothing on the Platform constitutes professional engineering advice, licensed architectural services, certified structural analysis, legal advice, financial advice, or any other form of licensed professional counsel.

• All tool outputs, calculations, comparisons, and sizing recommendations are approximate and intended as decision-support aids only.
• You must independently verify all outputs with qualified, licensed professionals before relying on them for construction, procurement, pricing, or any other operational decision.
• The Company does not warrant the accuracy, completeness, reliability, or fitness for any particular purpose of any Content or tool output.
• Any reliance you place on Content or tool outputs is strictly at your own risk.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Bardowl Group, its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to damages for loss of profits, revenue, data, goodwill, business interruption, or any other intangible losses — arising out of or in connection with:

• Your access to, use of, or inability to use the Platform or any Content.
• Any errors, inaccuracies, or omissions in any Content or tool output.
• Any unauthorized access to or alteration of your data or transmissions.
• Any third-party conduct, content, or services accessed through the Platform.
• Any decisions made or actions taken based on Content or tool outputs.

In no event shall the Company's total aggregate liability exceed the greater of (a) the amount you paid to the Company in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

7. Indemnification

You agree to indemnify, defend, and hold harmless Bardowl Group and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

8. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

The Company does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The Company does not warrant that any defects will be corrected or that the results obtained from use of the Platform will be accurate or reliable.

9. Data Collection & Privacy

By using the Platform, you acknowledge that Bardowl Group may collect, store, and process certain information in accordance with its Privacy Policy. You consent to the collection and use of data as described therein. The Company implements reasonable security measures but cannot guarantee absolute security of data transmitted through the internet.

10. Third-Party Links & Services

The Platform may contain links to third-party websites, services, or resources. These links are provided for convenience only. Bardowl Group does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites. Your interaction with third-party services is solely between you and the third party.

11. Prohibited Conduct

In addition to the restrictions in Section 3, you agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Interfere with, disrupt, or impose an unreasonable burden on the Platform's infrastructure.
• Attempt to gain unauthorized access to any portion of the Platform, other accounts, or any systems or networks connected to the Platform.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Transmit any malicious code, virus, worm, or other harmful software.
• Harvest, collect, or store personal information of other users without their consent.
• Use the Platform to send unsolicited communications, spam, or promotional material.

12. Termination

Bardowl Group may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately. Sections 3, 5, 6, 7, 8, 13, and 14 shall survive termination.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bardowl Group is registered, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration administered in accordance with the rules of a recognized arbitration body, unless injunctive or equitable relief is sought to protect intellectual property rights, in which case the Company may seek relief in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. General Provisions

• Entire Agreement. These Terms constitute the entire agreement between you and Bardowl Group regarding use of the Platform, superseding all prior agreements.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
• Assignment. You may not assign or transfer your rights or obligations under these Terms without the Company's prior written consent. The Company may assign its rights and obligations freely.
• Force Majeure. The Company shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet disruptions.
• Notices. Any notices under these Terms shall be provided via email or posting on the Platform.
